1. Introduction

These Terms and Conditions ("Terms") govern your use of the MoneyAdvert platform ("Platform"), operated by VehicleScore Limited, a company registered in England and Wales with company number 14822698 ("we", "us", "our", or "MoneyAdvert").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Platform. Your continued use of the Platform following any changes constitutes acceptance of the revised Terms.

2. Definitions

In these Terms, the following definitions apply:

• "Platform" means the MoneyAdvert website, applications, and related services.

• "User" means any individual or entity that registers for and uses the Platform, including both Creators and Businesses.

• "Creator" means a User who offers content creation, influencer marketing, or related services through the Platform.

• "Business" means a User who seeks to engage Creators for content creation, influencer marketing, or related services.

• "Contract" means an agreement entered into between a Creator and a Business through the Platform for the provision of services.

• "Content" means any text, images, videos, audio, or other materials uploaded, posted, or transmitted through the Platform.

• "Work" means deliverables produced by a Creator pursuant to a Contract.

• "Services" means the marketplace and related services provided by MoneyAdvert through the Platform.

3. Platform Role and Limitations

3.1 Nature of the Platform

The Platform provides a venue for Creators and Businesses to discover each other, communicate, negotiate terms, enter into Contracts, and facilitate payments. MoneyAdvert acts solely as a passive conduit and introduction service between Users.

We do not:

• Employ, supervise, direct, or control any Creator

• Act as an agent, representative, or fiduciary for any User

• Vet, verify, or endorse the quality of any User's work or services

• Guarantee the identity, credentials, or representations of any User

• Guarantee payment from Businesses or work delivery from Creators

• Guarantee the financial solvency or creditworthiness of any User

3.2 No Liability for User Transactions

All transactions, agreements, and Contracts on the Platform are strictly between Users. MoneyAdvert is not a party to any Contract and bears no responsibility for the performance, non-performance, or breach of any Contract between Users.

3.3 Express Disclaimers

MoneyAdvert expressly disclaims any and all responsibility and liability for:

• The quality, accuracy, legality, safety, or appropriateness of any Content, Work, products, or services offered by Users

• Any mismatch, discrepancy, or dispute regarding Work deliverables, specifications, or expectations

• Any debt, non-payment, late payment, or payment dispute between Users

• The truth, accuracy, or completeness of any information, representations, or claims made by Users

• The outcome, success, or effectiveness of any collaboration, campaign, or Work

• Any loss, damage, or harm arising from interactions or transactions between Users

• Compliance with advertising standards, consumer protection laws, tax obligations, or other legal requirements by Users

• Any claims, disputes, or legal actions arising between Users

• The conduct, behaviour, or actions of any User on or off the Platform

3.4 User Due Diligence

Users are solely responsible for conducting their own due diligence before entering into any Contract or transaction with another User. This includes verifying the identity, credentials, reputation, and suitability of potential collaborators. MoneyAdvert does not conduct background checks or verify User information.

3.5 Independent Contractors

Creators are independent contractors and not employees, agents, or representatives of MoneyAdvert. Nothing in these Terms or on the Platform creates an employment, agency, partnership, or joint venture relationship between MoneyAdvert and any User.

4. Eligibility and User Accounts

4.1 Eligibility

To use the Platform, you must be at least 18 years of age and have the legal capacity to enter into binding contracts. If you are registering on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

4.2 Account Registration

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.3 Account Security

You must notify us immediately of any unauthorised access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

5. User Obligations

By using the Platform, you agree to:

• Comply with all applicable laws, regulations, and industry standards, including advertising standards and disclosure requirements

• Provide accurate and truthful information in your profile and communications

• Not impersonate any person or entity or misrepresent your affiliation

• Not use the Platform for any unlawful, fraudulent, or harmful purpose

• Not upload or transmit any Content that is illegal, defamatory, obscene, or infringes the rights of others

• Not attempt to circumvent the Platform's payment system or take transactions off-platform to avoid fees

• Not interfere with or disrupt the Platform or its infrastructure

• Fulfil your obligations under any Contracts you enter into

• Maintain appropriate records for tax and compliance purposes

Creators are additionally responsible for ensuring their Work complies with all applicable advertising standards, including proper disclosure of sponsored content.

Businesses are additionally responsible for ensuring their campaigns comply with applicable advertising laws and that any claims made about products or services are accurate.

6. Contracts and Work

6.1 Formation of Contracts

Contracts are formed directly between Creators and Businesses through the Platform. When a Business and Creator mutually agree to the terms of a collaboration and confirm via the Platform, a binding Contract is created between those parties.

6.2 Contract Terms

Users are responsible for clearly defining the scope, deliverables, timeline, and payment terms of each Contract. MoneyAdvert provides tools to facilitate this process but does not guarantee the completeness or enforceability of any Contract terms.

6.3 Work Submissions

Creators may submit Work through the Platform for Business review. Businesses should review Work promptly and provide feedback or approval within a reasonable timeframe. Failure to respond within the timeframe specified in the Contract may result in automatic approval.

6.4 Work Quality and Mismatch Disclaimer

MoneyAdvert expressly disclaims any responsibility for:

• Work that does not meet a Business's expectations or specifications

• Misunderstandings about deliverables, scope, or requirements

• Quality of content, creative execution, or production values

• Performance metrics, engagement rates, or campaign results

• Delays in delivery or missed deadlines

• Technical issues with delivered content

• Any claims that Work is not fit for purpose

Users are responsible for clearly communicating requirements, reviewing Work carefully, and raising concerns directly with each other. Any disputes about Work quality or mismatches are matters between the Users involved.

6.5 Contract Disputes

Users are encouraged to resolve disputes directly with each other in good faith. While MoneyAdvert may provide informal dispute resolution assistance at its sole discretion, we are not obligated to do so and any suggestions or decisions made are not legally binding arbitration.

MoneyAdvert is not responsible for mediating, arbitrating, or resolving any disputes between Users. If Users cannot resolve a dispute, they must seek their own legal remedies. MoneyAdvert will not be liable for any losses, costs, or damages arising from disputes between Users.

7. Payments and Fees

7.1 Payment Facilitation

MoneyAdvert facilitates payments between Businesses and Creators. Payments made by Businesses may be held in escrow-style arrangements until Work is approved or payment release conditions are met. Payment processing is handled by third-party payment providers.

7.2 Platform Fees

MoneyAdvert charges fees for the use of its Services. Current fee structures are displayed on the Platform. We reserve the right to modify fees at any time, with reasonable notice to Users.

7.3 Payment Release

Payments to Creators are released upon Business approval of Work, automatic approval following the review period, or resolution of any disputes. Processing times may vary depending on payment method and provider.

7.4 No Guarantee of Payment - Debt Disclaimer

MoneyAdvert does not guarantee payment processing or the financial solvency of any User. We are not liable for:

• Non-payment or late payment by any Business

• Debts owed between Users

• Payment disputes or disagreements over amounts owed

• Chargebacks, refunds, or payment reversals

• Insolvency or bankruptcy of any User

• Losses arising from third-party payment provider issues

• Currency conversion losses or bank fees

If a Business fails to pay a Creator, or if any payment dispute arises, this is a matter solely between those Users. Creators may need to pursue their own legal remedies against non-paying Businesses. MoneyAdvert is not a debt collector and will not pursue debts on behalf of any User.

7.5 Taxes

Users are solely responsible for determining and fulfilling their tax obligations. MoneyAdvert does not provide tax advice. Creators are responsible for reporting income received through the Platform to relevant tax authorities.

7.6 Invoices

The Platform may generate invoices for transactions. These invoices are provided as a convenience and Users are responsible for ensuring compliance with their invoicing and record-keeping obligations.

8. Intellectual Property

8.1 Platform IP

The Platform, including its design, features, and underlying technology, is owned by MoneyAdvert and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Platform without our express written permission.

8.2 User Content

Users retain ownership of Content they upload to the Platform, subject to any rights granted under Contracts. By uploading Content, you grant MoneyAdvert a non-exclusive, worldwide, royalty-free licence to use, display, and distribute that Content solely for the purpose of operating and promoting the Platform.

8.3 Work Ownership

Ownership and licensing of Work produced under Contracts is determined by the terms of those Contracts between Creators and Businesses. MoneyAdvert makes no claim to ownership of Work.

8.4 Infringement Claims

Users must not upload Content or produce Work that infringes the intellectual property rights of others. If you believe your intellectual property rights have been infringed, please contact us with details of the alleged infringement.

9. Termination and Suspension

9.1 Termination by User

You may close your account at any time by contacting us. Closure does not affect your obligations under any active Contracts or outstanding payment obligations.

9.2 Termination or Suspension by MoneyAdvert

We reserve the right to suspend or terminate your account, with or without notice, for any reason, including but not limited to:

• Breach of these Terms

• Fraudulent, illegal, or harmful activity

• Repeated disputes or complaints

• Non-payment of fees

• Inactivity for an extended period

• At our sole discretion for any reason

9.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. We may retain your data as required by law or for legitimate business purposes. Provisions of these Terms that by their nature should survive termination shall survive.

10. Limitation of Liability

10.1 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

10.2 Intermediary Liability Exclusion

AS AN INTERMEDIARY PLATFORM, MONEYADVERT SHALL HAVE NO LIABILITY WHATSOEVER FOR:

• Any debt, non-payment, or payment dispute between Users

• Any mismatch between Work delivered and User expectations

• Any loss arising from a Creator's failure to deliver Work

• Any loss arising from a Business's failure to pay

• The quality, accuracy, or fitness for purpose of any Work

• Campaign performance, results, or return on investment

• Any disputes, claims, or legal actions between Users

• The conduct, acts, or omissions of any User

• Any breach of Contract between Users

• Any third-party claims arising from User Content or Work

10.3 General Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MONEYADVERT AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, BUSINESS OPPORTUNITIES, OR REPUTATION, ARISING OUT OF OR IN CONNECTION WITH:

• Your use of or inability to use the Platform

• Any transaction or interaction between Users

• Any Content or Work on the Platform

• Any conduct of any User, whether online or offline

• Unauthorised access to or alteration of your data

10.4 Maximum Liability Cap

IN ANY EVENT, MONEYADVERT'S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (a) THE FEES PAID BY YOU TO MONEYADVERT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (b) ONE HUNDRED POUNDS (£100).

10.5 Acknowledgement

You acknowledge and agree that the limitations of liability in this section reflect a reasonable and fair allocation of risk between you and MoneyAdvert, and that these limitations are an essential basis of the bargain between us. MoneyAdvert would not be able to provide the Platform to you on an economically reasonable basis without these limitations.

10.6 Exclusions

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

11. Indemnification

You agree to indemnify, defend, and hold harmless MoneyAdvert, its parent company, subsidiaries, affiliates, and their respective directors, officers, employees, agents, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and costs of investigation) arising out of or in any way connected with:

• Your use of or access to the Platform

• Your breach or alleged breach of these Terms

• Your Content, Work, or any materials you provide

• Your violation or alleged violation of any law, regulation, or rights of any third party

• Any dispute, claim, or legal action between you and another User

• Any debt, non-payment, or financial dispute involving you

• Any Contract or transaction you enter into with another User

• Any advertising standards violations or consumer complaints related to your Work or campaigns

• Any tax liability or failure to comply with tax obligations

• Any claim that your Content or Work infringes intellectual property or other rights

This indemnification obligation will survive the termination of your account and these Terms.

12. Dispute Resolution

If you have a dispute with another User, you should attempt to resolve it directly with them. You may also contact us to request informal mediation assistance, which we may provide at our discretion.

If you have a dispute with MoneyAdvert, you agree to first contact us and attempt to resolve the dispute informally before initiating any legal proceedings.

Nothing in this section prevents either party from seeking injunctive or other equitable relief from the courts for matters related to intellectual property or data security.

13. No Legal, Tax, or Financial Advice

MoneyAdvert does not provide legal, tax, financial, or professional advice. Any information provided through the Platform, including contract templates, invoicing tools, or earnings calculators, is for informational purposes only and should not be relied upon as professional advice.

Users are encouraged to seek independent professional advice regarding their legal, tax, and financial obligations.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MoneyAdvert regarding your use of the Platform.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

14.5 Third-Party Rights

These Terms do not confer any rights on any third party under the Contracts (Rights of Third Parties) Act 1999.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
